GoDark Bags Affiliate Program Terms and Conditions

These Terms and Conditions ("Agreement") govern participation in the GoDark Bags Affiliate Program ("Affiliate Program") operated by GoDark Technologies Inc., doing business as GoDark Bags, ("Company," "we," "us," or "our"). By applying to and participating in the Affiliate Program, you ("Affiliate," "you," or "your") agree to abide by these terms.

1. Program Overview

The GoDark Bags Affiliate Program enables approved websites and individuals to earn commissions by referring customers to GoDarkBags.com through tracked affiliate links and promotional materials provided by GoDark Technologies Inc. (operating under the GoDark Bags brand).

2. Enrollment and Approval

2.1. To join the Affiliate Program, you must complete the application at https://godarkbags.postaffiliatepro.com/affiliates/signup.php#SignupForm. We will review your application and notify you if accepted.

2.2. We accept websites and content creators whose material aligns with our brand values, including but not limited to EMF health, privacy, prepping, tactical, survival, or law enforcement. We do not accept deal or coupon sites.

2.3. Each website you intend to use for affiliate promotion must be submitted and approved separately.

2.4. We reserve the right to accept or reject any application or revoke participation at our sole discretion at any time, for any reason.

3. Commission Structure

3.1. Affiliates earn a 10% commission on qualifying sales generated through their affiliate links, excluding shipping and taxes.

3.2. Commissions are tracked via cookies placed by our third-party affiliate platform, Post Affiliate Pro. The cookie duration is thirty (30) days (the "Cookie Period"). A commission is paid only if:

• The sale occurs within the Cookie Period;
• The affiliate was the last referring source before the sale, excluding paid channels such as Google PPC, paid social advertising (e.g. Meta, TikTok, LinkedIn), retargeting/remarketing ads, and other paid digital advertising placements.

3.3. If multiple affiliates refer a customer, only the last referrer within the Cookie Period will receive commission credit.

3.4. Commissions are not paid on orders that are returned, canceled, or determined to be fraudulent.

3.5. GoDark Bags reserves the right to withhold commissions or terminate accounts found engaging in fraudulent, unethical, or non-compliant behavior.

4. Affiliate Conduct and Content Usage

4.1. Affiliates may use marketing assets, including banners and text links, provided via their GoDark Bags Affiliate Account.

4.2. All content on GoDarkBags.com is protected by copyright. Affiliates may use GoDark Bags product images and descriptions only for the promotion of GoDark Bags through the affiliate program. Content may not be used as part of general website design or outside the context of affiliate marketing without prior written consent.

4.3. Any unauthorized use of images, content, or trademarks may result in legal action and immediate removal from the program.

5. Affiliate Account and Tracking

5.1. Each affiliate is assigned a unique ID and dashboard through Post Affiliate Pro.

5.2. Links are tracked by appending your unique referral ID to the end of any URL at GoDarkBags.com, as provided in your affiliate dashboard. Links that do not include a valid referral ID will not track properly and will not result in commission payments.

5.3. Affiliates may place affiliate links on their own websites, blogs, newsletters, or emails, provided such use complies with applicable laws and these terms.

6. Self-Referrals

6.1. Affiliates are allowed to make purchases using their own affiliate links to earn commissions on personal orders. No additional discounts are provided.

7. Fees

Participation in the Affiliate Program is free. There are no setup, membership, or recurring fees.

8. Payment Terms

8.1. Affiliate commission balances are reviewed at the beginning of each calendar month, reflecting qualifying commissions earned in the prior month, and are generally paid out over the course of that month.

8.2. A minimum payout threshold of $50 USD applies. If an affiliate's accrued, qualifying commission balance is below this threshold, the balance will not be paid out but will instead carry over and accumulate until the threshold is met in a subsequent month.

8.3. Payments are issued via the method(s) made available through Post Affiliate Pro or as otherwise agreed with the Company, generally in USD unless otherwise agreed between Affiliate and Company. Qualifying balances above the threshold are typically paid within thirty (30) days of month-end, though processing times may occasionally vary, and the Company does not guarantee a specific payment date each month.

8.4. If a payment is inadvertently delayed, missed, or an affiliate is overlooked in a given payment cycle for any reason, the affected balance remains on file and will be included in the next available payment cycle. No interest, penalty, or additional compensation accrues as a result of such delay, and the Company's liability with respect to any such delay is subject to the limitation of liability set out in Section 14.

8.5. Affiliate is responsible for providing accurate and up-to-date payment information. The Company is not responsible for payments that are lost, delayed, or misdirected due to inaccurate information provided by the Affiliate.

9. Independent Contractor Status

9.1. Affiliate participates in the Affiliate Program as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between Affiliate and Company.

9.2. Affiliate has no authority to make representations, warranties, or commitments on behalf of Company, and shall not hold itself out as an employee, agent, or representative of Company.

9.3. Affiliate is solely responsible for its own taxes, business licenses, and expenses incurred in connection with its participation in the Affiliate Program.

10. Trademark and Paid Search Restrictions

10.1. Affiliates may not bid on, register, or use "GoDark," "GoDark Bags," "GoDark Technologies," or any confusingly similar variation or misspelling thereof as keywords or search terms in any paid search or pay-per-click advertising campaign (including but not limited to Google Ads, Microsoft/Bing Ads, or similar platforms).

10.2. Affiliates may not register domain names, social media handles, or app names incorporating Company trademarks or confusingly similar variations without prior written consent.

10.3. Violation of this Section may result in forfeiture of unpaid commissions and immediate termination from the Affiliate Program.

11. Disclosure Compliance

11.1. The Affiliate Program is open to participants globally. Affiliates are solely responsible for complying with all applicable advertising, marketing, and endorsement disclosure laws in their own jurisdiction, including but not limited to the U.S. Federal Trade Commission's Endorsement Guides, Canada's Competition Bureau requirements, and equivalent laws or regulations elsewhere.

11.2. Affiliates must clearly and conspicuously disclose their affiliate relationship with Company in accordance with such applicable laws whenever promoting Company products or using affiliate links.

11.3. Failure to comply with applicable disclosure requirements may result in suspension or termination from the Affiliate Program.

12. Privacy and Data Protection

12.1. To the extent Affiliate collects, accesses, or processes any personal information of customers or website visitors in connection with the Affiliate Program (including through Affiliate's own websites, landing pages, or referral tracking), Affiliate is responsible for complying with all applicable privacy and data protection laws in its jurisdiction, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) where applicable, and equivalent laws elsewhere.

12.2. Affiliate shall not use any data obtained through participation in the Affiliate Program for purposes other than promoting Company's products in accordance with this Agreement, and shall not sell, rent, or share such data with third parties without Company's prior written consent.

13. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Affiliate's participation in the Affiliate Program; (b) Affiliate's marketing, advertising, or promotional activities; (c) Affiliate's breach of this Agreement; or (d) Affiliate's violation of any applicable law or third-party right.

14. Limitation of Liability

To the fullest extent permitted by law, Company's total liability to Affiliate arising out of or in connection with this Agreement or the Affiliate Program shall not exceed the total commissions actually earned and payable to Affiliate in the one (1) month immediately preceding the event giving rise to the claim. In no event shall Company be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost business, arising from participation in the Affiliate Program, including but not limited to platform downtime, tracking errors, or delayed payments.

15. Governing Law and Jurisdiction

This Agreement is governed by, and shall be construed in accordance with, the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute arising out of or relating to this Agreement.

16. Termination and Modification

16.1. We reserve the right to update, modify, or terminate the Affiliate Program or this Agreement at any time, with or without notice.

16.2. Affiliates may terminate their participation at any time by providing written notice.

16.3. Upon termination, all licenses and rights granted to the Affiliate will immediately cease, and unpaid commissions may be forfeited in cases of breach.
